GRABAR LAW OFFICE INVESTIGATES CLAIMS ON BEHALF OF SHAREHOLDERS OF NEOGEN CORPORATION (NASDAQ: NEOG)
Grabar Law Office is investigating claims on behalf of shareholders of Neogen Corporation (NASDAQ: NEOG). The investigation concerns whether certain officers and directors breached the fiduciary duties they owed to the company.
Neogen Corporation is a food safety company that manufactures and markets products and services dedicated to food and animal safety.
In December 2021, it was announced that Neogen would merge with the Food Safety Division of the 3M Company. The deal closed in September 2022. Upon closing, Neogen commenced what would become a lengthy and complicated integration process.
On January 25, 2025, the Company revealed, among other things, that GAAP net income in the second quarter was significantly negative due to a $461 million non-cash goodwill impairment charge related to the 3M acquisition. In addition, the Company revealed that, as of November 30, 2024, the Company had material weaknesses in its internal control over financial reporting. On this news, the price of the Company’s common stock declined 5% to close at $12.36 per share.
A recently filed federal securities fraud class action Complaint alleges that Neogen Corporation (NASDAQ: NEOG), through certain of its officers, misrepresented the status of the 3M integration and failed to disclose the negative impact of integration issues on the financial health of Neogen. As a result of Defendants’ alleged wrongful acts and omissions, and the large decline in the market value of the Company’s common stock, shareholders have suffered significant losses and damages.
